Terms and Conditions

Welcome to Digital Strategy Agency, operated by DIGITAL STRATEGY & PERFORMANCE S.R.L., a company registered in Romania under CUI (Fiscal Code) 43246140, Registration Number J23/5077/2020, with its registered office at Str. Biruinței 100, Popești-Leordeni, Ilfov County, 077160, Romania ("Company", "we", "us", or "our"). These Terms and Conditions ("Terms") govern your use of our website located at https://digitalstrategy.agency (the "Site") and the services we provide, including but not limited to commercial forecasting, data analytics, and digital mentoring. By accessing or using the Site or our services, you agree to be bound by these Terms. If you do not agree, please do not use our Site or services.

Digital Strategy Agency provides the following services: • Advanced Commercial Dynamics (ACD): A data-driven commercial forecasting platform that aggregates data from Google Analytics 4, Google Ads, Meta Ads, and e-commerce platforms to provide actionable insights, revenue forecasting, and performance tracking. • Digital Mentoring 1-to-1: Personalized mentoring sessions for e-commerce business owners and managers, covering strategy, operations, marketing, and growth. • Custom Packages: Tailored combinations of our services designed to meet specific business needs. Service availability, features, and pricing may change at our discretion with reasonable notice.

To access certain features of our services, you may be required to create an account. You agree to: • Provide accurate, current, and complete information during registration. • Maintain the security and confidentiality of your login credentials. • Notify us immediately of any unauthorized use of your account. • Accept responsibility for all activities that occur under your account. We reserve the right to suspend or terminate accounts that violate these Terms or are inactive for an extended period.

Fees for our services are outlined in the applicable service agreement or package description. Unless otherwise specified: • All fees are quoted in EUR and are exclusive of applicable taxes. • Payment is due within 14 days of invoice date, unless otherwise agreed. • Late payments may incur interest at the legal rate. • We accept bank transfers and other payment methods as communicated. You agree to pay all fees associated with your selected services. Failure to pay may result in service suspension.

All content, features, and functionality of the Site — including but not limited to text, graphics, logos, software, data visualizations, forecasting models, and analytics dashboards — are owned by Digital Strategy Agency and are protected by international copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, modify, or create derivative works from any part of our Site or services without our prior written consent. Data and reports generated for your business through our platform remain accessible to you for the duration of your subscription. The underlying technology, algorithms, and methodologies remain our exclusive property.

Our services integrate with third-party platforms including Google Analytics 4, Google Ads, Meta Ads, and e-commerce platforms (such as MerchantPro). By using our services, you: • Authorize us to access and process data from your connected accounts. • Acknowledge that data accuracy depends on the quality of data provided by third-party platforms. • Understand that third-party platform changes may temporarily affect data availability or accuracy. We process your data solely for the purpose of providing our services and in accordance with our Privacy Policy.

To the maximum extent permitted by applicable law: • Digital Strategy Agency shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our services. • Our total liability for any claim shall not exceed the amount paid by you for the service in question during the twelve (12) months preceding the claim. • We do not guarantee specific business outcomes, revenue increases, or performance improvements. Our forecasts and recommendations are based on available data and professional judgment but are not guarantees of future performance. This limitation applies regardless of the legal theory on which the claim is based.

Both parties agree to maintain the confidentiality of any proprietary or sensitive information shared during the course of our engagement. This includes, but is not limited to: • Business strategies, financial data, and performance metrics. • Technical configurations, API credentials, and platform access details. • Internal reports, analyses, and recommendations. Confidentiality obligations survive the termination of our agreement for a period of two (2) years.

Either party may terminate the service agreement: • With 30 days written notice for monthly subscriptions. • For cause, if the other party materially breaches these Terms and fails to remedy the breach within 14 days of written notice. Upon termination: • All outstanding fees become immediately due. • Your access to the platform and data will be maintained for 30 days to allow data export. • After the 30-day grace period, your data may be permanently deleted.

We reserve the right to modify these Terms at any time. Changes will be effective upon posting to the Site. We will make reasonable efforts to notify active users of material changes via email or platform notification. Your continued use of our services after changes are posted constitutes acceptance of the modified Terms.

These Terms shall be governed by and construed in accordance with the laws of Romania. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of Bucharest, Romania. For EU consumers: Nothing in these Terms affects your statutory rights under applicable consumer protection legislation.
